Terms of Service

Please read these Terms of Service carefully before using Quant Desk. By accessing or using the Service you agree to be bound by these terms. If you do not agree, do not use the Service.

1. Definitions

  • "Quant Desk", "we", "us", "our" — the company operating the Quant Desk platform.
  • "Service" — the Quant Desk website (quant-desk.app), web application, mobile applications (Android and iOS), APIs, and associated documentation.
  • "Customer" / "you" — the individual or legal entity that signs up for an account and creates a workspace.
  • "Workspace" — a dedicated, isolated environment created under a subdomain (e.g., yourcompany.quant-desk.app) that contains your team's data and conversations.
  • "User" / "Agent" — any individual granted access to a workspace by the Customer (e.g., support agents, supervisors, admins).
  • "End User" — a third party (e.g., your customer or contact) who communicates with you through the Service.
  • "Subscription Plan" — a paid tier that determines the features and agent seats available to a workspace.
  • "Content" — all data, text, files, images, and information uploaded to or processed through the Service.

2. Acceptance of Terms

By creating an account, clicking "Start Free Trial", downloading the mobile application, or otherwise accessing the Service, you confirm that:

  • You are at least 16 years of age (or the minimum age required in your jurisdiction for digital consent).
  • You have the authority to bind yourself or your organisation to these Terms.
  • Your use of the Service complies with all applicable laws and regulations.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quant Desk.

3. Description of Service

Quant Desk is an omnichannel customer engagement platform that enables businesses to:

  • Receive and respond to customer messages across email, live chat, WhatsApp, and SMS from a single inbox.
  • Manage support tickets with SLA timers, priorities, labels, and assignment rules.
  • Automate conversation routing, assignment, and replies using rule-based automation.
  • Maintain a CRM of contacts, companies, and interaction history.
  • Access reports and analytics on agent performance and channel activity.
  • Connect to third-party services via integrations (WhatsApp Business, Twilio, Termii, Google Workspace, Microsoft 365, Slack, and others).
  • Use the Service via the web application or our mobile application (Android / iOS).

Feature availability depends on your Subscription Plan. We reserve the right to modify, add, or remove features at any time; material changes will be communicated with reasonable notice.

4. Account Registration & Workspaces

  • You must provide accurate, complete, and current registration information. You agree to keep this information up to date.
  • You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account or workspace.
  • You must immediately notify us at support@quant-desk.app of any unauthorised use of your account.
  • One workspace is created per registration. Additional workspaces may require separate subscriptions.
  • Each workspace is assigned a unique subdomain. Subdomains may not be transferred to another party.
  • Agents added to a workspace consume seats under your Subscription Plan. Admins and read-only viewers do not count as agents unless otherwise stated in the plan documentation.

5. Subscriptions, Billing & Payment

5.1 Subscription Plans

Paid Subscription Plans are billed on a per-agent, per-month or per-agent, per-year basis depending on the billing cycle you choose. Current plan pricing is available on the Pricing page.

5.2 Payment

  • Subscriptions are prepaid. Your chosen billing cycle renews automatically on the renewal date unless cancelled before then.
  • You authorise us to charge your payment method on file for all fees incurred.
  • All fees are exclusive of applicable taxes (VAT, GST, sales tax, etc.). You are responsible for paying applicable taxes.
  • We use a third-party payment processor (e.g., Stripe) to handle transactions. Payment card data is not stored on our servers.

5.3 Upgrades & Downgrades

You may upgrade your plan at any time; charges are prorated immediately. Downgrades take effect at the next billing cycle. Reducing agent seats below the current count will result in the least-recently-active agents being deactivated.

5.4 Refunds

Subscription fees are non-refundable except where required by applicable law. If you believe a charge was made in error, contact billing@quant-desk.app within 14 days of the charge.

6. Free Trial

  • New workspaces receive a 14-day free trial with full access to plan features. No credit card is required to start the trial.
  • One free trial is allowed per email address, per individual, and per organisation.
  • At the end of the trial, you must select a paid plan to continue using the Service. Workspaces that are not converted will be suspended and data may be deleted after a grace period of 30 days.
  • We reserve the right to modify or terminate the free trial offer at any time.

7. Acceptable Use Policy

You agree not to use the Service to:

  • Send spam, unsolicited bulk messages, or commercial communications without proper consent under applicable anti-spam laws (CAN-SPAM, CASL, GDPR, etc.).
  • Transmit malware, viruses, or any code designed to disrupt or damage the Service or third-party systems.
  • Attempt to gain unauthorised access to other workspaces, accounts, or underlying infrastructure.
  • Reverse engineer, decompile, or extract source code from the Service.
  • Use the Service to process, store, or transmit data that violates any applicable law including those relating to privacy, data protection, intellectual property, or export controls.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Facilitate or conduct illegal activities including fraud, phishing, or the distribution of illegal content.
  • Resell, sublicense, or re-distribute the Service without our written permission, except as expressly authorised under a partner or reseller agreement.
  • Generate excessive or abusive API traffic that degrades the Service for other users.

Violation of this policy may result in immediate suspension or termination of your account without refund. We reserve the right to cooperate with law-enforcement investigations and to disclose information as required by law.

8. Intellectual Property

8.1 Our IP

The Service, including all software, designs, trademarks, logos, and documentation, is owned by or licensed to Quant Desk and is protected by applicable intellectual-property laws. These Terms do not grant you any ownership interest in the Service. Your subscription gives you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

8.2 Feedback

If you submit suggestions, bug reports, or feature requests ("Feedback"), you grant us a perpetual, irrevocable, royalty-free licence to use, incorporate, and build upon that Feedback without any obligation or compensation to you.

9. Your Content & Data

You retain all ownership rights to the Content you upload or process through the Service. By using the Service, you grant Quant Desk a limited, worldwide, royalty-free licence to host, store, transmit, and process your Content solely as necessary to provide the Service.

  • You are solely responsible for the legality, accuracy, and appropriateness of your Content.
  • You are responsible for ensuring you have the necessary rights and consents to use your End Users' data through the Service.
  • You may export your workspace data at any time from workspace settings. Upon account deletion, data will be permanently deleted within 90 days.
  • We do not use your Content to train AI models or for any purpose other than providing and improving the Service.

10. Third-Party Services & Integrations

The Service allows you to connect third-party services (WhatsApp Business API, Twilio, Termii, Google Workspace, Microsoft 365, Slack, and others). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the availability, performance, or data practices of third-party services.

Third-party messaging services (WhatsApp, Twilio, Termii) have their own pricing models. Quant Desk only charges for seats; messaging costs are charged directly by the respective provider under your separate agreement with them.

11. Availability & Uptime

We strive to maintain high availability of the Service. However:

  • We do not warrant uninterrupted or error-free availability.
  • Planned maintenance will be communicated in advance where practicable.
  • Emergency maintenance may occur without advance notice to address critical security or stability issues.

Any uptime Service-Level Agreements (SLAs) are specified in your Subscription Plan documentation and apply only to paid subscribers.

12. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL QUANT DESK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, goodwill, or business interruption.
  • Damages arising from unauthorised access to or alteration of your Content.
  • Conduct of third parties or third-party services connected to the Service.

IN ALL CASES, OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO QUANT DESK IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless Quant Desk and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; (d) your violation of any applicable law or third-party rights; or (e) any claim by your End Users arising from your use of the Service.

15. Termination

15.1 Termination by You

You may cancel your subscription at any time from your workspace settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused time, except as required by applicable law.

15.2 Termination by Us

We may suspend or terminate your account immediately and without notice if:

  • You breach these Terms or our Acceptable Use Policy.
  • Your account is involved in fraudulent activity or poses a security risk.
  • Required by law or court order.

We may also terminate or suspend the Service with 30 days' written notice if we discontinue the Service entirely.

15.3 Effect of Termination

Upon termination, your right to access the Service immediately ceases. You may request data export within 30 days of termination. After that period, your data will be permanently deleted. Sections 8 (IP), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Governing Law) survive termination.

16. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Quant Desk is incorporated, without regard to conflict-of-law principles.

Before filing any legal claim, you agree to first contact us at legal@quant-desk.app to attempt informal resolution. If the dispute is not resolved within 30 days, both parties may pursue claims through binding arbitration or in the courts of competent jurisdiction, as applicable.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

17. Changes to These Terms

We may update these Terms from time to time. When changes are material, we will notify you at least 14 days in advance by email or by posting a notice in the Service. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription before the effective date.
